My deregistered company is being hit with penalties by SARS – the solution
This is almost a daily question so, here’s our advice.
The response depends on whether or not you want the company alive.
If you don’t want the company
We have come up with a simple solution.
Provided the company has never traded, we may agree to take it over, restore it and deal with the penalties. At the same time we will also register a new company for you at no charge if you want one.
Your problem solved! You end up with a clean company and we deal with the dirty one.

If the company has traded, follow the steps below, but don’t restore the company. Rather prove the final deregistration to SARS and follow the remaining steps.
Finally apply to SARS to have the company suspended as a taxpayer.
If you want to revive the company
It is a step by step process
- If no Tax Representative has been apointed at SARS, then do so, because without that nobody can access the company history on efiling.
- Immediately submit all outstanding tax returns. This will stop the penalties.
- Restore the company at CIPC.
- Submit a request for the remission of penalties to SARS.
- If you have already paid some of the penalties, request a refund.
Again, we can assist, but there will be fees. The remission of penalties is very likely to succeed and the refund is a possibility, but neither are guaranteed. The company has been dormant from the outset, as it is no more than a property holding company. It owns a property in Paternoster. I have neither the wherewithal nor the time to attend to this and will pay the fees. Payment of the annual fee slipped through the the cracks.
